Terms and Conditions

By purchasing, downloading, or using an instrumental from P-dollar Beats, the customer (“Licensee”) agrees to the following terms and conditions.

1. Grant of License

The Producer grants the Licensee a limited, non-exclusive, non-transferable license to use the purchased instrumental (“Beat”) to create one original song incorporating the Licensee’s own vocals or other original contributions.

The specific rights granted depend on the license tier purchased and the terms presented at checkout.

The license does not transfer ownership of the Beat or its copyright to the Licensee.

2. Ownership and Copyright

The Producer retains ownership of all rights in the Beat that the Producer owns and has the legal right to license, except as expressly stated in a separate written agreement.

The Licensee receives only the rights expressly granted under this Agreement.

The Licensee may not claim ownership of the original Beat or register the Beat as an exclusively owned work.

Any songwriting or composition interests arising from the parties’ original contributions will be determined by their actual contributions and any separate written agreement.

3. Non-Exclusive Rights

The Licensee acknowledges that the Beat may be licensed to other artists on a non-exclusive basis.

The Producer reserves the right to continue licensing the Beat to other customers, provided those licenses do not conflict with any applicable exclusive rights previously granted.

The Licensee may not prevent other authorized licensees from exercising their valid rights.

4. Permitted Uses

Subject to the purchased license tier, the Licensee may:

  • Record and release one original song incorporating the Beat.
  • Distribute the finished song through authorized digital music platforms.
  • Promote the finished song on social media and other permitted promotional channels.
  • Monetize the finished song within the applicable license limits.
  • Perform the finished song publicly where permitted by the license.

Any streaming limits, sales limits, monetization restrictions, or other usage conditions will be specified in the purchased license.

5. Prohibited Uses

The Licensee may not:

  • Resell, redistribute, or sublicense the original Beat as a standalone product.
  • Claim exclusive ownership of the Beat under a non-exclusive license.
  • Upload or distribute the original Beat as a standalone download without authorization.
  • Include the Beat in a sample pack, production kit, or competing beat marketplace.
  • Transfer this license to another party without the Producer’s written consent.
  • Use the Beat in a manner that exceeds the purchased license’s expressly defined scope.
  • Use automated copyright-enforcement systems to assert rights the Licensee does not own or to improperly block authorized users of the Beat.

6. Producer Credit

Where reasonably practicable, the Licensee must credit the Producer as:

“Produced by P-Dollar.”

The Licensee must make reasonable efforts to include the credit in applicable release metadata, video descriptions, and promotional materials.

If a credit is omitted unintentionally, the Licensee must make reasonable efforts to correct the omission after receiving notice.

7. Third-Party Rights and Samples

The Producer will identify any known third-party sample restrictions applicable to the Beat in the relevant product listing or accompanying license documentation.

The Licensee may not assume that all third-party material has been cleared for every possible use.

Where additional clearance is required, responsibility for obtaining that clearance will be determined by the applicable written disclosure and license terms.

Nothing in this Agreement grants rights that the Producer does not own or have authority to license.

8. Content ID and Rights Management

The Licensee may not register the original Beat as exclusively owned by the Licensee.

Before registering a finished song with YouTube Content ID or another automated rights-management service, the Licensee must ensure that the registration is permitted by the purchased license and does not improperly claim rights in the Producer’s original Beat or other authorized licensees’ uses.

The Licensee must cooperate reasonably in correcting an improper claim resulting from the Licensee’s registration.

9. License Limits and Upgrades

The Licensee must comply with all distribution, monetization, streaming, and other limits applicable to the purchased license tier.

If the Licensee requires additional rights, the Licensee must purchase an available upgrade or obtain the Producer’s written permission before exercising those additional rights.

An upgrade will take effect according to its stated terms.

10. Breach and Termination

A material breach of this Agreement may result in suspension or termination of the license, subject to applicable law and any required notice or opportunity to cure.

Upon valid termination, the Licensee must cease activities that are no longer authorized by the license.

Termination does not eliminate rights or obligations that applicable law or the Agreement requires to survive.

11. Limitation of License

This Agreement grants only the rights expressly stated in the applicable license.

Any additional rights, including exclusive rights, copyright transfers, or special commercial permissions, must be established in a separate written agreement.

12. Governing Law

This Agreement will be governed by the laws of Georgia , to the extent permitted by applicable law.

Any dispute will be handled through the procedures and in the forum permitted by applicable law and any enforceable dispute-resolution provision agreed to by the parties.

14. Acceptance

By completing the purchase, the Licensee acknowledges that they have reviewed and agreed to this Agreement and the terms of the selected license tier.
